Terms of Service

Last updated: September 2026

1. Agreement to These Terms

By creating an account or using Denta+ — operated by Simplx Tech LLC, a limited liability company registered in the State of Wyoming, United States, operating in the Arab Republic of Egypt (see simplx.tech) — you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform. These terms apply to all users, including clinic owners, staff members, and any other individuals accessing the platform on behalf of a healthcare practice.

2. Description of Service

Denta+ is a multi-tenant Software-as-a-Service (SaaS) platform designed for healthcare providers — including dental clinics, general medical clinics, physiotherapy centers, and aesthetic clinics. The platform provides tools for patient management (CRM), appointment scheduling, clinical record keeping, billing and invoicing, WhatsApp-based patient communication, AI-powered reception, financial reporting, staff management, and related services.

Each clinic receives a fully isolated environment with a dedicated database, ensuring complete data privacy between tenants. The platform is available in Arabic and English.

3. Eligibility

You must be at least 18 years old and legally authorized to operate or represent a healthcare business to use Denta+. By registering, you confirm that you have the authority to bind your organization to these terms.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms or engage in unauthorized activity.

Clinic owners are responsible for all actions taken by staff members under their clinic account, including doctors, receptionists, and any other roles they create.

5. Free Trial

New clinics receive a 14-day free trial with full access to all platform features. No credit card is required to start the trial. At the end of the trial period, the account will require an active subscription to continue accessing the platform.

6. Subscriptions & Billing

Denta+ subscriptions are priced and billed per individual agreement with each clinic. The default billing period is yearly, but the exact schedule, amount, and payment terms are agreed separately with each clinic to allow for flexible arrangements. Pricing is agreed in Egyptian Pounds (EGP) unless otherwise specified.

We reserve the right to modify pricing with reasonable advance notice. Continued use of the platform after a price change takes effect constitutes your acceptance of the new pricing.

Late payments may result in a grace period (default 7 days) after which access may be paused or terminated.

7. Refund Policy

We offer a full refund within 60 days of your first subscription payment, no questions asked. To request a refund, send your Clinic ID and contact details to us by WhatsApp, phone, or email. Refunds are processed within 48 hours of receiving a valid request.

Refund requests after the 60-day window are reviewed on a case-by-case basis.

8. Acceptable Use

You agree not to use Denta+ to:

  • Violate any applicable law or regulation, including healthcare privacy laws.
  • Upload, transmit, or distribute harmful, fraudulent, or misleading content.
  • Attempt to gain unauthorized access to other clinic accounts or our systems.
  • Use the platform to send spam, unsolicited bulk messages, or harass patients.
  • Reverse-engineer, decompile, or copy any part of the platform.
  • Resell, sublicense, or redistribute access to the platform without written permission.
  • Use the AI receptionist to provide medical diagnoses, emergency medical advice, or to replace the professional judgment of a licensed healthcare practitioner.
  • Use outputs from the AI receptionist to train, fine-tune, or improve any competing AI model or system.

9. Patient Data & Healthcare Compliance

Clinics are solely responsible for ensuring their use of Denta+ complies with all applicable laws governing patient privacy and data protection in their jurisdiction, including obtaining proper consent from patients for data collection and communication.

Patient data stored in Denta+ belongs to the clinic. Denta+ processes this data strictly to provide the contracted service and does not sell, share, or use patient data for any other purpose. Each clinic's data is fully isolated from other clinics.

10. Healthcare Professional Responsibility

Denta+ is a practice management tool, not a medical device or clinical decision support system. All clinical decisions — including diagnoses, treatment plans, prescriptions, and patient care — are the sole professional responsibility of the licensed healthcare practitioners who use the platform.

Simplx accepts no responsibility for any harm, injury, or adverse outcome arising from clinical decisions made by healthcare professionals using information recorded or displayed in Denta+.

11. AI-Powered Features

Denta+ includes an AI receptionist that interacts with patients via WhatsApp to handle appointment booking, inquiries, and scheduling. By enabling this feature, you acknowledge and agree that:

  • Patient conversations are processed by a third-party AI language model (OpenAI) to generate responses.
  • AI responses may occasionally be inaccurate, incomplete, or misunderstood. The clinic is responsible for supervising AI behavior and reviewing any AI-managed bookings.
  • The AI receptionist is not a substitute for professional medical advice and must not be used for clinical consultation, diagnosis, or emergency situations.
  • In case of a medical emergency, patients must be directed to contact emergency services — the AI is not equipped to handle emergency situations.
  • Clinics should inform patients that they may be interacting with an automated AI system.

Simplx makes no guarantees about the accuracy of AI-generated responses and shall not be liable for any outcome arising from a patient's reliance on AI-generated content.

12. Meta Platforms Integration

Denta+'s messaging features rely on Meta's platforms — the WhatsApp Business Platform, and optionally Instagram and Facebook Messenger. Your use of these features is subject to Meta's own terms and policies, including the WhatsApp Business Messaging Policy. Clinics are responsible for ensuring their messaging practices comply with those policies, including template pre-approval and the rules on unsolicited messages.

A clinic may connect its own WhatsApp Business Account to Denta+. The clinic remains the owner of that account, its phone number, and its message templates; Denta+ acts as the technology provider operating it on the clinic's behalf, and Meta bills any messaging charges to the clinic directly. A clinic can disconnect at any time, from Denta+ or from Meta Business Settings, after which we can no longer send or receive messages for that number.

Clinics on a trial may use a shared Denta+ WhatsApp number until they connect their own. Messages sent through that shared number are subject to the same policies.

13. Intellectual Property

Denta+ and all related content, software, logos, and trademarks are the property of Simplx. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for your clinic operations during an active subscription.

Any content you upload (patient files, clinical notes, logos) remains your property. By uploading it, you grant Denta+ a limited license to store and process it for the purpose of providing the service.

14. Service Availability

We aim to maintain high platform availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors outside our control, including third-party infrastructure (AWS, MongoDB Atlas, Meta WhatsApp, OpenAI, etc.).

15. Force Majeure

Simplx shall not be liable for any failure or delay in performance of its obligations under these terms caused by events beyond its reasonable control, including but not limited to: natural disasters, acts of government, war, civil unrest, pandemics, power failures, internet outages, or disruptions to third-party infrastructure (including Meta, AWS, OpenAI, or payment providers).

In such events, we will notify affected clinics as soon as reasonably practicable and resume normal service as quickly as possible.

16. Termination

You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these terms, engage in fraud, or misuse the platform, with or without prior notice.

Upon termination, you may request a data export within 30 days. After this period, data may be permanently deleted from our systems.

17. Limitation of Liability

Denta+ is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Simplx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, or business opportunities arising from your use or inability to use the platform.

Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the total amount paid by you in the 3 months preceding the claim.

18. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or through a notice on the platform. Continued use of Denta+ after changes take effect constitutes your acceptance of the revised terms.

19. Governing Law

These terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in Egypt.
